1. Acceptance of Terms

By accessing or using the Hooki Pro de Daniele Pisu platform ("Platform", "Service", "we"), you agree to be fully bound by these Terms and Conditions. If you do not agree, you must immediately stop using the Service.

These Terms constitute a binding agreement between you and Hooki Pro de Daniele Pisu (VAT: ESZ1872544G), registered at Calle Tinguafaya, 90C, Arona, Spain.

2. Service Description

Hooki Pro de Daniele Pisu is a multi-tenant SaaS platform for managing WhatsApp integrations for agencies and businesses. The Service includes:

Management of multiple WhatsApp sessions per agency
Message sending and receiving via API
Control panel for agencies and clients, accessible via login.hooki.pro
Platform administration panel, accessible via admin.hooki.pro
Programmatic access via API Key
Client management with guided onboarding and acceptance of legal terms
Agency logo upload and management, with automatic image processing and compression
WhatsApp and email notification system for system events
Transactional emails for service communications
Usage analytics and reporting

The Platform servers are located in Madrid, Spain.

3. Use of the WhatsApp API

The Platform uses a third-party open-source library to connect to WhatsApp Web. By using the Service, you acknowledge and accept the following:

The WhatsApp integration relies on an unofficial client that is not approved or authorised by Meta Platforms, Inc. The use of unofficial clients is inconsistent with WhatsApp's Terms of Service.
The phone number associated with the WhatsApp session may be subject to temporary restrictions or permanent deactivation by WhatsApp at any time and without prior notice.
Hooki Pro de Daniele Pisu implements technical measures to reduce the risk of service disruptions, including message rate limiting, but cannot guarantee continuity of service or prevention of restrictions imposed by WhatsApp.
You assume full responsibility for any consequences arising from the use of the Service on your WhatsApp account and may not hold Hooki Pro de Daniele Pisu liable for any suspensions or deactivations.
For production environments with high reliability requirements, we recommend evaluating solutions based on the official WhatsApp Business API (Meta Cloud API).

4. User Responsibilities

4.1 Prohibited Activities

You agree not to:

Send unsolicited messages or bulk communications without recipient consent
Transmit illegal, fraudulent, offensive, or third-party rights-infringing content
Impersonate third parties or provide false sender identity information
Attempt to circumvent sending limits or Platform security mechanisms
Perform unauthorised access attempts, source code analysis, or security testing
Resell or sublicence access to the Service without prior written authorisation

4.2 Regulatory Compliance

You are required to comply with:

Regulation (EU) 2016/679 (GDPR) and applicable personal data protection legislation
Anti-spam regulations applicable in your country of use
WhatsApp Terms of Service and commercial use guidelines
Local electronic communications regulations

5. Account Security

You are responsible for keeping your login credentials confidential
Any unauthorised access must be reported promptly to info@hooki.pro
You are liable for all activities carried out through your account
Hooki Pro de Daniele Pisu reserves the right to suspend accounts showing abnormal or suspicious activity

6. Service Availability

The Service is provided on an "as is" basis, without warranties of continuity or availability.Hooki Pro de Daniele Pisu does not guarantee uninterrupted service and reserves the right to perform maintenance without prior notice. Any deactivation of the Service by WhatsApp may cause interruptions beyond the control of Hooki Pro de Daniele Pisu.

7. API Keys and Programmatic Access

API Keys issued by the Platform uniquely identify the client and provide programmatic access to message-sending functionality. You are responsible for:

Keeping your API Keys confidential and not sharing them with unauthorised parties
Revoking API Keys promptly if unauthorised use is suspected
Complying with the usage limits set by your active plan
All requests made using your API Keys, regardless of the requester

Hooki Pro de Daniele Pisu reserves the right to revoke API Keys in the event of misuse or violation of these Terms, without obligation to provide prior notice.

8. Data and Privacy

The processing of personal data is governed by our Privacy Policy. In summary:

Message metadata is retained for a period of 365 days
Media files (images, videos, documents) are not stored by the Platform; only metadata is retained
Images uploaded as agency logos are processed, compressed, and stored on Platform servers
You retain full ownership of your data and may request export or deletion at any time

9. Intellectual Property

The Platform, source code, design, and brand are the exclusive property of Hooki Pro de Daniele Pisu. Copying, modifying, or distributing the software without written authorisation is prohibited. Content and data submitted by you remain your property; you grant Hooki Pro de Daniele Pisu a limited licence to process such data solely for the purpose of providing the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Hooki Pro de Daniele Pisu is not liable for indirect, incidental, or consequential damages arising from the use or inability to use the Service, including but not limited to: WhatsApp account suspension, loss of messages or data, service interruption, or loss of business opportunities. Hooki Pro de Daniele Pisu's total liability to you is in any case limited to the amount paid by you in the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold Hooki Pro de Daniele Pisu harmless from any claims, damages, or expenses arising from: violation of these Terms, violation of WhatsApp's Terms of Service, use of the Service for unlawful purposes, or infringement of third-party rights.

12. Duration and Termination

These Terms are effective from the date of acceptance and remain valid until termination of the contractual relationship. Hooki Pro de Daniele Pisu may suspend or close your account in the event of a breach of these Terms, abusive conduct, or at the request of a judicial authority. You may withdraw at any time by closing your account; data will be deleted in accordance with the Privacy Policy.

13. Changes to Terms

Hooki Pro de Daniele Pisu reserves the right to update these Terms at any time. Material changes will be communicated by email to registered users. Continued use of the Service after notification constitutes acceptance of the changes.

14. Governing Law and Jurisdiction

These Terms are governed by Spanish law. Any dispute relating to the interpretation or performance of these Terms shall be subject to the exclusive jurisdiction of the Courts of Arona, Spain, unless otherwise required by mandatory consumer protection law applicable to you.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
